These terms summarize our current posture. The binding ToS + MSA is in preparation with counsel. Enterprise terms are negotiated per contract. Email founders@heimwall.ai for the current draft.
1. Acceptable use
HeimWall is an observability product for engineering teams using agentic coding tools. It is not to be used to circumvent lawful employee protections, to monitor activity outside the supported tools, or to target individuals in ways prohibited by your jurisdiction's employment law. Violations are grounds for termination without refund.
2. Not for performance reviews
By entering into this agreement, customer contractually agrees that safety scores, flag history, Investigation Mode artifacts, and any other HeimWall-derived signal will not be used as an input to performance reviews, promotion decisions, compensation decisions, or termination decisions. This is a material term. Breach is grounds for immediate termination by HeimWall and forfeiture of service.
3. Subscription and billing
Solo is free. Team and Business are per-seat subscriptions billed annually by default; monthly billing is available on request. Enterprise is a per-contract commitment. Upgrades are prorated. Downgrades take effect at renewal. Non-payment past 30 days results in suspension of the manager dashboard; detection on engineer endpoints continues for 14 additional days as a courtesy window.
4. Service-level expectations
Detection on-device operates regardless of cloud availability. The manager dashboard and telemetry API target 99.9% uptime for Team, with a contractual SLA on Business (99.9%) and Enterprise (99.95%, 1-hour response). Service credits apply per the MSA when those targets are missed.
5. Termination
Either party may terminate at the end of the current term with 30 days' notice. HeimWall may terminate for cause (non-payment, breach of the performance-review clause, or material breach of acceptable use) with 15 days' cure. On termination, customer data is exportable for 90 days, then permanently deleted except for aggregated analytics retained under §7 of the privacy policy.
6. Warranties and disclaimers
HeimWall is provided as-is with commercial reasonable effort. Detection models have false positives and false negatives by design. No security tool achieves perfection. Customer acknowledges that HeimWall is a defense-in-depth layer and does not replace secure coding practice, code review, or data handling training.
7. Liability
Aggregate liability is capped at the fees paid in the twelve months preceding the claim. HeimWall is not liable for indirect, incidental, consequential, or exemplary damages, including lost profits, even if advised of the possibility.
